KOREAN NATIONAL CORRECTIONAL OFFICERS VETERANS ASSOCIATION ACT

Act No. 11952, Jul. 30, 2013

 Article 1 (Purpose)
The purpose of this Act is to establish the Korean Retired Correctional Officers Association and, thereby, to share and develop its members' experience in correction through the promotion of fraternity among its members, and to contribute to the cultivation of national awareness of law and order, advancement of correction, and realization of public interests.
 Article 2 (Juristic Personality, etc.)
(1) The Korean Retired Correctional Officers Association (hereinafter referred to as the "Association") shall be a corporation.
(2) The Association shall be duly formed upon completing registration for its corporation after preparing its articles of association and obtaining approval therefor from the Minister of Justice.
(3) Except as otherwise provided for in this Act, the provisions of the Civil Act, which pertain to incorporated associations shall apply mutatis mutandis to the Association.
 Article 3 (Articles of Association)
The articles of association of the Association shall include the following matters:
1. Title;
2. Locations of its offices;
3. Mattes concerning its affairs;
4. Matters concerning the rights and obligations of its members;
5. Matters concerning general assembly, board of directors, and representatives;
6. Matters concerning executive organs and the segregation of their duties;
7. Matters concerning assets, membership fees, and audit;
8. Matters concerning the amendment of the articles of association;
9. Matters concerning executives and employees;
10. Other matters concerning the operation of the Association.
 Article 4 (Affairs)
The Association shall perform the following affairs to fulfill its objectives:
1. Promotion of welfare and extension of interests of the members of the Association (hereinafter referred to as "members");
2. Promotion of fraternity among members through mutual help;
3. Scholarship projects for members' children;
4. Development and management of financial resources for the correction and edification of inmates and the social reintegration of released convicts, etc.;
5. Projects for the cultivation of national awareness of law and order;
7. Profit-making business and business incidental thereto prescribed by the articles of association, within the extent not hindering the business prescribed in subparagraphs 1 through 6.
 Article 5 (Qualifications of Members)
(1) Members shall be comprised of full members and honorary members.
(2) Retired public officials in correctional service shall be the full members, and incumbent public officials in correctional service shall be the honorary members.
 Article 6 (Organization)
(1) The Association shall have the headquarters, branches, and chapters.
(2) The headquarters of the Association shall be located in Seoul Metropolitan City, and its branches in Metropolitan Cities where respective regional correctional agencies are seated, and its chapters shall be located at the seat of respective correctional institutions.
(3) Special subsidiaries of the Association shall be comprised of specific members and may be established separately from the headquarters, branches and chapters referred to in paragraph (1).
(4) The Association shall not engage in political activities.
 Article 7 (General Assembly)
(1) The general assembly shall be comprised of representatives including chairperson, vice chairpersons, secretary general, and directors under Article 12.
(2) Representatives under paragraph (1) shall be elected as prescribed by the articles of association.
(3) The general assembly shall pass resolutions on important matters prescribed by the articles of association.
 Article 8 (Convocation of General Assembly Meetings)
(1) General assembly meetings shall be convoked by the chairperson once annually.
(2) An extraordinary general assembly meeting shall be convoked by the chairperson when he/she deems it necessary or when at least one third of the representatives requests to convoke it.
(3) Upon receipt of a request for convocation of a meeting under paragraph (2), the chairperson shall convoke it within 15 days.
 Article 9 (Meetings and Proceedings)
Resolutions of the general assembly shall require the attendance of a majority of all incumbent representatives and the consent of a majority of those present: Provided, That the amendment of the articles of association shall require the attendance of a majority of all incumbent representatives and the consent of two third of those present.
 Article 10 (Minutes of General Assembly Meetings)
(1) With respect to the proceedings of the general assembly meetings, minutes thereof shall be prepared.
(2) In the minutes, the outline of progress of proceedings and the results thereof shall be entered and the signatures and seals of the chairperson and at least five persons elected by the general assembly to sign the minutes shall be affixed.
 Article 11 (Board of Directors)
(1) The board of directors shall be established in the Association.
(2) The board of directors shall pass resolutions on matters prescribed by the articles of association or delegated by the general assembly.
(3) The board of directors shall be comprised of the chairperson, vice chairpersons, and directors referred to in Article 12.
(4) Resolutions of the board of directors shall require the attendance of a majority of all incumbent members and the consent of a majority of those present.
(5) Where deemed particularly impracticable to convoke a general assembly meeting due to the occurrence of a natural disaster or any other state of emergency, the chairperson may let the board of directors act on behalf of the general assembly. In such cases, matters resolved upon thereby shall be ratified by the general assembly convoked subsequent thereto.
 Article 12 (Executives of Headquarters)
(1) The Association shall have following executives in its headquarters:
1. One chairperson;
2. A small number of vice chairpersons;
3. One secretary-general;
4. Fifteen to thirty directors;
5. Two auditors.
(2) The chairperson, vice chairpersons, directors, and auditors shall be elected by the general assembly and the secretary general shall be appointed by the chairperson from among directors.
(3) The chairperson shall represent the Association and exercise overall control of the affairs thereof, and shall preside over meetings of the general assembly and the board of directors.
(4) The vice chairpersons shall assist the chairperson, and if the chairperson is unable to perform his/her duties due to any extenuating circumstances, a vice chairperson in the order of priority designated beforehand by the chairperson shall act on his/her behalf.
(5) The secretary general shall, by order from the chairperson, perform the affairs of the Association and direct and supervise employees under his/her control.
(6) Auditors shall audit property and performance of affairs of the Association, and may attend and take the floor at the general assembly and the board of directors.
(7) The term of office of executives shall be prescribed by the articles of association.
 Article 13 (Executives of Branches, Chapters, and Special Subsidiaries)
Executives of branches, chapters, and special subsidiaries of the Association shall be elected or appointed as prescribed by the articles of association.
 Article 14 (Administrative Departments)
(1) In order to perform the affairs of the headquarters, branches, and subbranches of the Association, the Association may establish administrative departments and assign employees thereto.
(2) Fixed number and remuneration of employees, organization, and operation of the administrative departments referred to in paragraph (1), and other necessary matters shall be prescribed by the articles of association.
 Article 15 (Finances)
(1) Finances for the Association shall be appropriated from the membership fees of the members, business income, and other income.
(2) The State and local governments may grant a subsidy to the Association, when deemed necessary for the operation thereof.
 Article 16 (Supervision)
Where any subsidy has been granted under Article 15 (2), the Minister of Justice or the head of a local government may issue an order to submit documents on the use thereof or take other necessary measures.
ADDENDA
Article 1 (Enforcement date)
This Act shall enter into force on the date of its promulgation.
Article 2 (Transitional Measures)
(1) The Association existing as at the time this Act enters into force shall be deemed established under this Act.
(2) The articles of association of the Association existing as at the time this Act enters into force shall be deemed the articles of association under this Act. In such cases, any provision of the articles of association which conflicts with this Act shall be amended to coincide with the provisions of this Act within two months from the date when this Act enters into force, and shall be approved by the Minister of Justice.
(3) Executives of the Association existing as at the time this Act enters into force shall be deemed elected or appointed as executives of the Association under this Act within the extent not conflicting with this Act.
