ACT ON LIFELONG EDUCATION ACTIVITY SUPPORT FOR RETIRED TEACHERS

Act No. 11212, Jan. 26, 2012

 Article 1 (Purpose)
The purpose of this Act is to contribute to the development of the State and the promotion of social public interests by supporting lifelong educational service activities, such as youth guidance, education of parents, and support for school education, by establishing the Korea Educational Pleasure Association, a retired teachers' organization.

 Article 2 (Legal Personality)
(1) The Korea Education Pleasure Association (hereinafter referred to as the "Pleasure Association") shall be a corporation.
(2) The Pleasure Association shall be established by preparing the articles of association and obtaining approval from the Minister of Education, Science and Technology, and registering its establishment.
(3) Except as otherwise expressly provided for in this Act, the provisions of the Civil Act governing incorporated associations shall apply mutatis mutandis to the Pleasure Association.

 Article 3 (Articles of Incorporation)
The articles of association of the Pleasure Association shall prescribe the following matters:
1. Objectives;
2. Name;
3. Locations of its offices;
4. Matters concerning business;
5. Matters concerning rights and obligations of members;
6. Matters concerning general meeting and board of directors;
7. Matters concerning executive organs and their division of duties;
8. Matters concerning assets, membership fees, and audit and inspection;
9. Matters concerning the modification of the articles of association;
10. Matters concerning executive officers and employees;
11. Other matters concerning the operation of the Pleasure Association.

 Article 4 (Qualification for Membership)
The qualifications for membership of the Pleasure Association are as follows: <Amended on Jan. 26, 2012>
1. Regular members: Teachers of national, public or private schools (excluding instructors under Article 14 (2) of the Higher Education Act) and persons who have retired from office as educational professionals;
2. Advisory members: Those commissioned to receive guidance or advice on the operation of the Pleasure Association or to provide advice;
3. Honorary members: Those who have greatly contributed to the development of Pleasure Association;
4. Special members: Educational institutions and organizations commissioned for sponsoring the operation of the Pleasure Association.

 Article 5 (Organization)
(1) The Pleasure Association shall have headquarters, branches, and sub-branches, and the headquarters shall be established in Seoul Special Metropolitan City, branches in Seoul Special Metropolitan City, Metropolitan Cities, Dos, and Special Self-Governing Provinces, and sub-branches shall be established in Sis/Guns/Gus.
(2) The Pleasure Association never shall engage in any political activities.

 Article 6 (Business)
In order to achieve the purpose referred to in Article 1, the Pleasure Association shall perform the following projects:
1. Lifelong education activities;
2. Support and guidance for students' educational activities;
3. Character education and counseling activities;
4. Activities for education policy monitoring;
5. Cooperation with educational institutions of various levels;
6. Commendation to exemplary educators and encouragement of searching persons of distinguished service to education;
7. Voluntary service activities for improving civic culture;
8. Other projects necessary for the purposes of Pleasure Association.

 Article 7 (General Assembly)
(1) The Pleasure Association shall have a general meeting comprised of representatives, including the chairperson, vice chairpersons, secretary general, and directors.
(2) Matters necessary for the election, fixed number and term of office of representatives under paragraph (1) shall be prescribed by the articles of incorporation.
(3) The general meeting shall pass resolutions on important matters prescribed by the articles of incorporation.

 Article 8 (Convocation of General Meetings)
(1) An ordinary general meeting shall be convened by the chairperson once a year.
(2) An extraordinary general meeting shall be convened by the chairperson when the chairperson deems it necessary or when at least 1/3 of representatives request the chairperson to convene a meeting.
(3) Upon receipt of a request from a representative to convene a meeting under paragraph (2), the chairperson shall convene a meeting within 15 days.

 Article 9 (Quorum for Resolution)
A general meeting shall pass resolutions with the attendance of a majority of all incumbent representatives and with the concurrent vote of a majority of the representatives present.

 Article 10 (Special Cases concerning Resolutions of General Meetings)
(1) Notwithstanding Article 9, a general meeting shall pass resolutions on any of the following matters with the attendance of a majority of all incumbent representatives and with the concurrent vote of at least 2/3 of the representatives present at the meeting:
1. Amendments to the articles of incorporation;
2. Election of executive officers of headquarters;
3. Matters concerning budget, settlement of accounts and business plans.
(2) Matters falling under any subparagraph of paragraph (1) shall be approved by the Minister of Education, Science, and Technology, through a resolution of a general meeting.

 Article 11 (Minutes of General Meetings)
(1) Minutes shall be prepared with respect to the proceedings of a general meeting.
(2) The minutes shall include the gist of the progress and results of the proceedings of a meeting, and the chair and at least five signatures of the minutes elected at the general meeting shall affix their signatures and seals thereon.

 Article 12 (Board of Directors)
(1) The Pleasure Association shall have a board of directors.
(2) The board of directors shall pass resolutions on matters provided for in the articles of incorporation and matters delegated by a general meeting.
(3) The board of directors shall be comprised of the chairperson, vice-chairperson and directors.
(4) The resolution of the board of directors shall require the concurring vote of a majority of all incumbent members.
(5) The secretary general may attend and speak at meetings of the board of directors.
(6) Where the chairperson deems it impracticable to convene a general meeting due to a natural disaster or any other emergency, the chairperson may require the board of directors to exercise the authority of the general meeting on his or her behalf. In such cases, matters resolved by the board of directors in such cases shall be subject to approval of the next general meeting convened.

 Article 13 (Executive Officers of Headquarters)
(1) The headquarters of the Pleasure Association shall have the following executive officers:
1. One chairperson;
2. At least three but not more than five vice-chairpersons;
3. One secretary general;
4. At least 15 but not more than 30 directors;
5. Two auditors.
(2) The chairperson, vice-chairperson, directors, and auditors shall be elected at a general meeting, and the secretary general shall be appointed by the chairperson from among the directors.
(3) The chairperson shall represent the Pleasure Association to exercise overall control over the affairs of the Pleasure Association and shall be the chairperson of a general meeting and the board of directors.
(4) The vice-chairperson shall assist the chairperson, and where the chairperson is unable to perform his or her duties due to any unavoidable cause, the vice-chairperson shall act on his or her behalf in the order designated in advance by the chairperson.
(5) The secretary general shall handle the affairs of the Pleasure Association under the direction of the chairperson and direct and supervise the staff members under his or her control.
(6) The auditor shall audit the accounting of the Pleasure Association and affairs related to its accounting.

 Article 14 (Executive Officers of Branches and Chapters)
The executive officers of the branches and sub-branches of Pleasure Association shall be elected or appointed as prescribed by the articles of association.

 Article 15 (Administrative Department)
(1) The Pleasure Association may have administrative departments and employees necessary for the execution of its business affairs of the headquarters, branches, and sub-branches.
(2) Necessary matters concerning the fixed number, remuneration, etc. of the administrative departments and employees under paragraph (1) shall be prescribed by the articles of association.

 Article 16 (Finances)
(1) The Pleasure Association's finance shall be appropriated from membership fees and other income of its members.
(2) The State and local governments may grant subsidies within budgetary limits, if deemed necessary for the operation of the Pleasure Association.

 Article 17 (Supervision)
When the Minister Education, Science and Technology and the superintendent of education have paid a subsidy pursuant to Article 16 (2), they may order the submission of documents related to the use thereof or take other necessary measures.

ADDENDA <Act No. 6947, Jul. 29, 2003>
Article 1 (Enforcement Date)
This Act shall enter into force on the date of its promulgation.
Article 2 (Transitional Measures concerning Change of Grounds for Establishment and Names)
The Korean Federation of General Association of Education Pleasure Korea (hereinafter referred to as the "Korean Federation of General Association of Education Pleasure Korea") established pursuant to Article 32 of the Civil Act as at the time this Act enters into force shall be deemed to have been established pursuant to this Act.
Article 3 (Transitional Measures concerning Members)
Notwithstanding the provisions of Article 4, members of the Korean Federation of Education Pleasure Associations as at the time this Act enters into force shall be deemed to have been qualified as members under this Act.
Article 4 (Transitional Measures concerning Terms of Office of Executive Officers)
The executive officers of the Korean Federation of Education Pleasure Associations at the time this Act enters into force shall be deemed to have been elected or appointed under this Act to the extent not contrary to this Act.
Article 5 (Transitional Measures concerning Amendment to Articles of Incorporation)
The articles of association of the Korean Federation of Education Pleasure Associations at the time this Act enters into force shall be amended in accordance with this Act within three months from the date this Act enters into force and shall be authorized by the Minister of Education and Human Resources Development.

Article 1 (Enforcement Date)
This Act shall enter into force on the date of its promulgation: Provided, That...(Omitted)...among the statutes amended under Article 6 of Addenda, the amended parts that were promulgated before this Act enters into force but their enforcement dates have yet to arrive shall enter into force on their respective enforcement date of the relevant statutes.
