CHAPTER I GENERAL PROVISIONS

Article 1 (Purpose)

The purpose of this Act is to contribute to national economic progress by consolidating the soundness of credit order and the fairness of financial transactions and by protecting consumers of financial services such as depositors and investors through the

stablishmnt of th Financial Suprvisory Commission and the Financial Supervisory Service.

Article 2 (Maintenance, etc. of Fairness)

The Financial Supervisory Commission and the Financial Supervisory Service shall, in performing their duties, endeavor to maintain fairness, to secure transparency, and not to infringe on the autonomy of financial institutions.

CHAPTER II FINANCIAL SUPERVISORY COMMISSION

SECTION 1 Establishment of Financial Supervisory Commission

Article 3 (Establishment and Status of Financial Supervisory Commission)

(1) The Financial Supervisory Commission shall be established to exercise financial supervision under the jurisdiction of the Prime Minister.

(2) The Financial Supervisory Commission shall independently perform its duties under the powers vested in it.

Article 4 (Composition of Financial Supervisory Commission)

(1) The Financial

Supervisory Commission shl be composed of nine commissioners including one Chairman, one Vice Chairman, and the following members: <Amended by Act No. 5982, May 24, 1999>

1. The Vice Minister of Finance and Economy;

2. The Deputy Governor of the Bank of Korea;

3. The President of the Korea Deposit Insurance Corporation;

4. One expert on accounting recommended by the Minister of Finance and Economy;

5. One expert on banking and finance recommended by the Chairman of the Financial Supervisory Commission;

6. One expert on law recommended by the Minister of Justice; and

7. One representative of business community recommended by the President of the Korea Chamber of Commerce and Industry.

(2) The Chairman of the Financial Supervisory Commission (hereafter referred to as the "Chairman" in Sections 1 and 2 of this Chapter) shall be appointed by the President of the Republic of Korea after deliberation by the State Council, and the Vice Chairman of the Financial Supervisory Commission (hereafter referred

to as the "Vice Chairman" in Sections 1 and 2 of this Chapter) shall be appointed by the President of the Republic of Korea upon recommendation by the Minister of Finance and Economy. <Amended by Act No. 5982, May 24, 1999>

(3) The commissioners mentioned in paragraph (1) 4 through 7 shall be appointed by the President of the Republic of Korea upon recommendation by the recommending organization concerned, in such manner as prescribed by the Presidential Decree.

(4) The Chairman and the Vice Chairman shall have the status of state public officials in political service, and the commissioner mentioned in paragraph (1) 5 shall have the status of state public official in extraordinary civil service belonging to the Senior Civil Service, and the commissioners mentioned in paragraph (1) 4, 6 and 7 shall be nonstanding members. <Amended by Act No. 7796, Dec. 29, 2005>

(5) The Chairman, the Vice Chairman, and the commissioner mentioned in paragraph (1) 5 shall be government delegates notwithstanding Article 9 of the Government Organization Act.

Article 5 (Chairman)

(1) The Chairman shall represent the Financial Supervisory Commission, preside at meetings of the Financial Supervisory Commission, and exercise general control over affairs.

(2) In case the Chairman is unable to carry out his duties due to unavoidable reasons, the Vice Chairman and the commissioner mentioned in

Article 4 (1) 5 shall carry them out that order; case both the Vice Chairman and the commissioner mentioned in Article 4 (1) 5 are unable to perform the said duties due to unavoidable reasons, a commissioner designated in advance by the Financial Supervisory Commission shall assume the duties of the Chairman.

Article 6 (Terms, etc. of Office of Commissioners)

(1) The terms of office of the Chairman, the Vice Chairman, and the commissioners mentioned in Article 4 (1) 4 through 7 (hereinafter referred to as the "appointed commissioners") shall be three years and they may be re-appointed only once.

(2) If the seat of an appointed commissioner falls vacant, a new commissioner shall be appointed to fill the vacancy, and the term of office of the new commissioner shall be calculated from the date of appointment.

Article 7 (Prohibition of Political Activities)

In spite of Article 6 of the Political Parties Act, the appointed commissioners shall neither join a political party nor participate in any political activity.

Article 8 (Ineligibilities for Commissioners)

A person who falls under any of the following subparagraphs shall not be qualified for an appointed commissioner: <Amended by Act No. 7428, Mar. 31, 2005>

1. A person who

is nt a Krean natinal;

2. An incompetent or a quasi-incompetent;

3. A person who was declared bankrupt and who has not been reinstated;

4. A person who was sentenced to a suspension of execution of an imprisonment without prison labor or a heavier penalty and who is still in the period of suspension;

5. A person who was sentenced to an imprisonment without prison labor or a heavier penalty and for whom five years have not elapsed since the completion of the execution (including the case where the execution was deemed to be completed) or the remission thereof;

6. A person who was sentenced to a fine under this Act or other financerelated Acts and subordinate statutes (including foreign financerelated Acts and subordinate statutes) and for whom five years have not elapsed since then; and

7. A person who was discharged or removed from office under this Act or other finance-related Acts and subordinate statutes (including foreign finance-related Acts and subordinate statutes) and for whom five years have not elapsed since then.

Article 9 (Prohibition of Concurrent Holding, etc. of Offices)

The Chairman,

the Vice Chairman, and the commissioner mentioned in Article 4 (1) 5 shall neither hold concurrently any of the following offices nor engage in any business for profit-making during their terms of office:

1. A member of the National Assembly or a local council;

2. Any post of a national public official or a local public official;

3. Any post of an officer or employee of any institution which is subject to supervision under this Act and other Acts and subordinate statutes: Provided, That this provision shall not apply to the post of the Governor of the Financial Supervisory Service that the Chairman holds concurrently under Article 29 (2); or

4. Any other office that receives remuneration.

Article 10 (Protection, etc. of Commissioners' Status)

(1) No appointed commissioner shall be discharged from his office against his own will during his term of office unless he falls under any of the following subparagraphs:

1. Cases where he falls under any subparagraph of Article 8;

2. Cases where he is unable to perform his duties due to mental disorder or physical handicap; or

3. Cases where he

becomes unsuitable to perform his duties as a commissioner of the Financial Supervisory Commission owing to the violation of his functional obligations under this Act.

(2) No action conducted by a commissioner as a member of the Financial Supervisory Commission prior to his dismissal owing to the reasons mentioned in paragraph (1) shall lose its validity.

SECTION 2 Operation of Financial Supervisory Commission

Article 11 (Meetings)

(1) Meetings of the Financial Supervisory Commission shall be called by the Chairman upon the request of at least three commissioners: Provided, That the Chairman may call a meeting on his own motion.

(2) The resolutions of a meeting of the Financial Supervisory Commission shall be adopted by the attendance of a majority of its members and by the concurrence of a majority of those present unless other provisions of this Act or other Acts require a special method of resolution.

(3) Any member of the Financial Supervisory Commission may submit a proposal to the Financial Supervisory Commission with the concurrence of at least three members: Provided, That the Chairman may submit a proposal to the Financial Supervisory Commission

(4) Any commissioner shall be excluded from the deliberation and resolution on the matters falling under one of the following subparagraphs:

1. Matters in which he has a direct interest; or

2. Matters in which spouses, relatives within the fourth degree of relationship in parental line or second degree of matrimonial relationship, or a corporation to which he belongs has an interest.

Article 12 (Preparation, etc. of Formal Record of Resolutions)

When the Financial Supervisory Commission adopts a resolution on a certain matter, it shall prepare a formal record thereof, and those present shall put their names to and affix their seals to or sign it.

Article 13 (Seeking Opinions)

Whenever the Financial Supervisory Commission acknowledges that it is necessary for deliberation of a certain matter, it may listen to the opinions from the Deputy Governors or Assistant Governors of the Financial Supervisory Service provided in Article 29 (1), or other pertinent experts.

Article 14 (Emergency Measures)

(1) At a time of internal disorder, external contingencies, natural disasters,

or grave financial or economic crisis, when emergency measures on financial supervision are required but there is not enough time to call a meeting of the Financial Supervisory Commission, the Chairman may take necessary measures within the authority of the Financial Supervisory Commission.

(2) When the measures mentioned in paragraph (1) are taken, the Chairman shall without delay call a meeting of the Financial Supervisory Commission and report the contents thereof.

(3) The Financial Supervisory Commission may confirm or amend the emergency measures taken in accordance with paragraph (1) or may suspend the implementation of such measures.

Article 15 (Organization, etc.)

(1) The necessary matters on the organization and strength of the Financial Supervisory Commission shall be prescribed by the Presidential Decree. <Amended by Act No. 5982, May 24, 1999>

(3) The Chairman of the Financial Supervisory Commission shall control the budgets and other administrative affairs of the Financial Supervisory Commission and of the Securities and Futures Commission under Article 19.

Article 16 (Operations, etc.)

Necessary matters

on the operations, etc. of the Financial Supervisory Commission, in addition to those provided in this Act and other Acts and subordinate statutes, shall be prescribed in the rules of the Financial Supervisory Commission.

SECTION 3 Duties under Jurisdiction of Financial Supervisory Commission

Article 17 (Financial Supervision)

The Financial Supervisory Commission shall deliberate and make resolutions concerning the following matters in accordance with the provisions of this Act and other Acts and subordinate statutes: <Amended by Act No. 5982, May 24, 1999>

1. Formulation of and amendment to regulations relevant to the supervision of financial institutions;

1-2. Authorization or permission of establishment, merger, conversion, or transfer or takeover of business of financial institutions;

2. Authorization and permission relevant to the operations of financial institutions;

3. Important matters relevant to the examination of and sanction against financial institutions;

4. Important matters relevant to the administration, supervision, and surveillance of securities and futures market; and

5. Other matters relevant to the authority vested in the Financial Supervisory Commission by other Acts and subordinate statutes.

Article 18 (Instruction and Supervision of Financial Supervisory Service)

The Financial Supervisory Commission shall instruct and supervise the duties, operations, and administration of the Financial Supervisory Service in accordance with the provisions of this Act and other Acts and subordinate statutes, and shall deliberate and make resolutions on each of the following matters:

1. Approval of amendment to the articles of incorporation of the Financial Supervisory Service;

2. Matters concerning the organization and structure of the Financial Supervisory Service;

3. Approval of the budgets and closing accounts of the Financial Supervisory Service;

4. Decision on the remuneration standards for the employees of the Financial Supervisory Service; and

5. Other matters necessary for the direction and supervision of the Financial Supervisory Service.

Article 18

SECTION 4 Securities and Futures Commission

Article 19 (Establishment of Securities and Futures Commission)

The Securities and Futures Commission shall be established under the Financial Supervisory Commission to conduct each of the following duties in accordance with the provisions of this Act and other Acts and subordinate statutes:

1. Investigation of unfair transactions in the securities and futures markets;

2. Duties concerning the corporate accounting standards and accounting review;

3. Prior deliberation of important matters relevant to the administration, supervision, and surveillance of the securities and futures markets, which are subject to deliberation and resolution by the Financial Supervisory Commission;

4. Duties delegated by the Financial Supervisory Commission for the administration, supervision, and surveillance of the securities and futures market; and

5. Other duties vested in the Securities and Futures Commission under other Acts and subordinate statutes.

Article 20 (Composition, etc. of Securities and Futures Commission

(1) The Securities and Futures Commission shall be composed of five members including the Chairman, one of whom, except the Chairman, shall be a standing member.

(2) The Vice Chairman of the Financial Supervisory Commission shall concurrently hold the office of Chairman of the Securities and Futures Commission, and the other members of the Securities and Futures Commission shall be appointed by the President of the Republic of Korea upon the recommendation of the Chairman of the Financial Supervisory Commission from among the persons falling under one of the following subparagraphs: <Amended by Act No. 7796, Dec. 29, 2005>

1. A person who has served as a public official of Grade II or higher, or a public official in general service belonging to the Senior Civil Service and who has experience in the fields of finance, securities, futures, or accounting;

2. A person who has majored in law, economics, business administration, or accounting at a university, and who has served for fifteen years or more at a university or a publicly authorized research institute as an associate professor or higher, or as a staff member holding a corresponding position; or

3. Other persons who have extensive knowledge and experience in finance, securities, futures, or accounting.

Article 20

(3) The standing member of the Securities and Futures Commission who is not the Chairman shall have status of a public official in extraordinary civil service belonging to the Senior Civil Service. <Amended by Act No. 7796, Dec. 29, 2005>

(4) In case the Chairman of the Securities and Futures Commission is unable to carry out his duties due to unavoidable reasons, the standing member shall carry them out on his behalf; in case both the Chairman and the standing member are unable to perform their duties due to unavoidable reasons, a member chosen in advance by the Securities and Futures Commission shall perform the duties of the Chairman.

(5) The terms of office of members of the Securities and Futures Commission, except the Chairman, shall be three years and they may be reappointed only once.

(6) Articles 6 (2) and 7 through 10 shall apply mutatis mutandis to the Securities and Futures Commission.

Article 21 (Meetings, etc.)

(1) Meetings of the Securities and Futures Commission shall be called by the Chairman at the request of at least two members: Provided, That the Chairman may call a meeting on his own motion.

(2) A resolution of a meeting of the Securities and Futures Commission shall be adopted by the concurrence of at least three members.

Article 21

(3) Articles 11 (4), 12, and 13 shall apply mutatis mutandis to the Securities and Futures Commission.

Article 22 (Organization, Rules, etc.)

(1) Necessary matters on the organization of the Securities and Futures Commission, in addition to those provided in this Act, shall be prescribed in the rules of the Financial Supervisory Commission.

(2) Necessary matters on the operation, etc. of the Securities and Futures Commission, in addition to those provided in this Act and other Acts and subordinate statutes, shall be prescribed in the rules.

(3) In case the Securities and Futures Commission intends to formulate the rules mentioned in paragraph (2), it shall obtain approval from the Financial Supervisory Commission. This shall also apply in case of the amendments thereto.

Article 23 (Instruction and Supervision of Financial Supervisory Service)

The Securities and Futures Commission shall instruct and supervise the Financial Supervisory Service in relation to the duties mentioned in each subparagraph of Article 19.

CHAPTER III FINANCIAL SUPERVISORY SERVIC

Article 22 ~ 23

SECTION 1 General Provisions

Article 24 (Establishment of Financial Supervisory Service)

(1) The Financial Supervisory Service shall be established in order to examine and supervise financial institutions under the directions of the Financial Supervisory Commission or the Securities and Futures Commission.

(2) The Financial Supervisory Service shall be a special corporation having no capital.

Article 25 (Offices)

(1) The Financial Supervisory Service shall have its main office in Seoul Special Metropolitan City.

(2) The Financial Supervisory Service may, in accordance with its articles of incorporation, establish branch boards or offices in places where they are needed.

Article 26 (Articles of Incorporation)

(1) The articles of incorporation of the Financial Supervisory Service shall specify the matters falling under each of the following subparagraphs:

1. Purpose;

2. Denomination;

3. Matters on its offices;

4. Matters on its employees;

5. Matters on its business affairs and the execution thereof;

6. Matters on its budget and accounting;

7. Methods of public announcement;

8. Matters on amendments to the articles of incorporation; and

9. Other matters prescribed by the Presidential Decree.

(2) The Financial Supervisory Service may amend its articles of incorporation with the approval from the Financial Supervisory Commission.

Article 27 (Registration)

(1) The Financial Supervisory Service shall register in such manner as prescribed by the Presidential Decree.

(2) The Financial Supervisory Service shall be duly established upon the registration of incorporation at the location of its main office.

Article 27

(3) Matters required in the registration under paragraph (1) shall not be set up against a third party until the registration thereof is made.

Article 28 (Prohibition of Use of Similar Denomination)

No entity other than the Financial Supervisory Service shall use the denomination "Financial Supervisory Service" or any other similar term in its denomination.

SECTION 2 Governor, Deputy Governors, Assistant Governors, Auditor, and Employees

Article 29 (Executive Officers)

(1) The Financial Supervisory Service shall have one Governor, four or less Deputy Governors, nine or less Assistant Governors, and one auditor.

(2) The Chairman of the Financial Supervisory Commission shall concurrently hold the post of the Governor of Financial Supervisory Service (hereinafter referred to as the "Governor").

(3) The Deputy Governors and the Assistant Governors (hereinafter referred to as the "Deputy Governors and the Assistant Governors") of the Financial Supervisory Service shall be appointed by the Financial Supervisory Commission on the recommendation of the

Governor.

(4) The auditor shall be appointed by the President of the Republic of Korea on the recommendation of the Financial Service Commission.

(5) The terms of office of the Deputy Governors, the Assistant Governors, and the auditor shall be three years, and each of them may be re-appointed only once.

(6) When any post of the Deputy Governor, the Assistant Governor, or the auditor falls vacant, a new person shall be appointed to fill such vacancy, and the term of office of the new incumbent shall be calculated from the date of appointment.

Article 30 (Duties)

(1) The Governor shall represent the Financial Supervisory Service and shall exercise general control over the business of the Financial Supervisory Service.

(2) In case the Governor is unable to carry out his duties due to unavoidable reasons, the commissioner of the Financial Supervisory Commission next in line to act on behalf of the Chairman of the Financial Supervisory Commission shall undertake the duties of the Governor.

(3) The Deputy Governors shall assist the Governor and undertake their respective duties assigned to them in the Financial Supervisory Service, and the Assistant Governors shall assist the Governor and the Deputy Governors and undertake their respective duties

assigned to them in the Financial Supervisory Service.

(4) The auditor shall inspect and audit the business and accounting of the Financial Supervisory Service.

Article 31 (Restriction of Representative Rights)

The commissioner of the Financial Supervisory Commission who serves on behalf of the Chairman of the Financial Supervisory Commission shall represent the Financial Supervisory Service in case the Governor's interests conflict with those of the Financial Supervisory Service.

Article 32 (Dismissal of Deputy Governors, etc.)

In case any Deputy Governor, Assistant Governor, or auditor falls under any of the following subparagraphs, he shall, upon the recommendation of the person who recommended his appointment pursuant to Article 29 (3) and (4), be dismissed by the person who appointed him:

1. When he is declared bankrupt by the court;

2. When he is sentenced to an imprisonment without prison labor or a heavier penalty, or to a fine or a heavier punishment under this Act or other finance-related Acts and subordinate statutes (including foreign finance-related Acts and subordinate statutes);

3. When he is unable physically or mentally to perform his duties; or

4. When he violates this Act, the orders thereunder, or the articles of incorporation.

Article 33 (Appointment and Dismissal of Employees)

The Governor shall appoint and dismissal employees.

Article 34 (Restriction on Concurrent Holding of Posts)

The Deputy Governors, the Assistant Governors, the auditor, and the employees shall not engage in any business activity for profit other than their duties, and shall not hold other posts concurrently without the approval from the person who has authority to appoint.

Article 35 (Duties of Probity and Confidentiality)

(1) The Governor, Deputy Governors, Assistant Governors, auditor, and employees shall neither compel the granting of loans nor accept any money, valuables, or benefits from the financial institutions which are subject to examination and supervision pursuant to the provisions of this Act or from any officer or employee of such financial institutions.

(2) The Governor, Deputy Governors, Assistant Governors, auditor, and employees, or persons who have previously held those offices shall neither reveal to outsiders nor use for other purposes any information obtained in the course of their duties.

Article 33 ~ 35

Article 36 (Appointment of Representative)

(1) The Governor may appoint a representative from among the Deputy Governors, the Assistant Governors, or other employees with the authority to take all judical or extra-judical actions pertaining to the business of the Financial Supervisory Service.

(2) The scope of the employees who may be selected as representatives in judical actions pursuant to paragraph (1) shall be prescribed by the Presidential Decree.

SECTION 3 Duties

Article 37 (Duties)

The Financial Supervisory Service shall perform the following duties in accordance with this Act and other Acts and subordinate statutes:

1. Examination of the business and asset status of the institutions provided in any subparagraph of Article 38;

2. Imposition of sanctions under this Act and other Acts and subordinate statutes according to the findings as a result of the examinations mentioned in subparagraph 1;

3. Assistance in the duties of the Financial Supervisory Commission and the Securities and Futures Commission pursuant to the provisions of Chapter II; and

4. Other duties which are entrusted to the Financial Supervisory Service under this Act and other Acts and subordinate statutes.

Article 38 (Institutions Subject to Examination)

The institutions which are subject to examination by the Financial Supervisory Service shall be those falling under one of the following subparagraphs: <Amended by Act No. 6018, Sep. 7, 1999; Act No. 6256, Jul. 1, 2000; Act No. 6429, Mar. 28, 2001; Act No. 6987, Oct. 4, 2003>

1. Financial institutions established with the authorization under the Banking Act or the Long-Term Credit Bank Act;

2. Securities companies, securities finance corporations, and transfer agents established under the Securities and Exchange Act;

3. Asset management companies and investment counsel companies established under the Act on Business of Operating Indirect Investment and Assets;

4. Insurers established under the Insurance Business Act;

5. Merchant banks established under the Merchant Banks Act;

6. Mutual savings banks and the Federation of Saving Banks established under the Mutual Savings Banks Act;

7. Credit unions and the National Credit Union Federation established under the Credit Unions Act;

8. Trust companies established under the Trust Business Act;

9. Specialized credit financial companies and persons who engage concurrently in loan business established under the Specialized Credit Financial Business Act;

10. Futures dealer under the Futures Trading Act;

11. The credit business sector of the National Agricultural Cooperative Federation under the Agricultural Cooperatives Act;

12. The credit business sector of the National Federation of Fisheries Cooperatives under the Fisheries Cooperatives Act;

14. The institutions to be examined by the Financial Supervisory Service pursuant to the provisions of other Acts and subordinate statutes; and

15. Such other persons engaging in a financial business and finance-related business as prescribed by the presidential Decree.

Article 38

Article 39 (Formulation of Rules)

(1) The Governor may formulate the rules, when he deems necessary for performing the duties of the Financial Supervisory Service.

(2) When the Governor intends to formulate the rules mentioned in paragraph (1), he shall obtain the approval from the Financial Supervisory Commission. The same shall also apply when he intends to amend the rules.

Article 40 (Demand, etc. for Submission of Materials)

(1) The Governor may, when he deems necessary for performing his duties, demand the reports, materials, and appearance and testimony of the persons involved regarding the business operation and assets from the institutions mentioned in any subparagraph of Article 38 or other institutions subject to the examination by the Financial Supervisory Service pursuant to the provisions of other Acts and subordinate statutes.

(2) The persons who conduct examinations pursuant to subparagraph 1 of Article 37 shall produce a certificate representing their authorities to examine to the persons concerned.

Article 41 (Correction Order and Demand for Disciplinary Punishment)

(1) The Governor may, when officers or employees of the institution mentioned

in any subparagraph of Article 38 fall under one of the following subparagraphs, require the head of the institution concerned to correct the acts of his officers or employees or to take disciplinary punishment against those concerned:

1. Cases of violating this Act, or the regulations, orders, or directions thereunder;

2. Cases of falsely preparing reports or data required by the Governor under this Act, or neglecting to submit them;

3. Cases of refusing, hindering, or evading the supervision and examination by the Financial Supervisory Service under this Act; or

4. Cases of neglecting to implement a correction order or demand for disciplinary punishment issued by the Governor.

(2) The disciplinary punishment mentioned in paragraph (1) shall be classified into categories such as dismissal, suspension of office, reduction of salary, reprimand and warning.

Article 42 (Recommendation, etc. of Dismissal of Officers)

The Governor may, when an officer of an institution falling under any subparagraph of Article 38 wilfully violates this Act, or the regulations, orders, or directions thereunder, recommend the person who appointed him to dismiss the officer concerned, or propose

that the Financial Supervisory Commission suspend him from the exercise of his duties.

Article 43 (Suspension, etc. of Business)

The Governor may, when an institution falling under any subparagraph of Article 38 conducts its business in an unlawful or unsound manner repeatedly violating this Act, or the regulations, orders, or directions thereunder, propose that the Financial Supervisory Commission take any of the following actions against the institution concerned:

1. Suspension of the unlawful conduct of or malpractice of the institution concerned; or

2. Suspension of all or part of the business of the institution concerned for a period of not more than six months.

SECTION 4 Accounting

Article 44 (Accounting)

The fiscal year of the Financial Supervisory Service shall be the same as that of the Government.

Article 45 (Budget and Closing Accounts)

(1) The budget of the Financial Supervisory Service shall be approved by the Financial Supervisory Commission.

(2) The Financial Supervisory Service shall submit its budget to the Financial

Supervisory Commission within at least sixty days before each fiscal year begins.

(3) The Governor shall submit the statements of closing accounts for the fiscal year to the Financial Supervisory Commission within two months after the close of each fiscal year.

Article 46 (Source of Revenue)

The Financial Supervisory Service shall appropriate its expenses from the following sources of revenue:

1. Contributions from the Government;

2. Contributions from the Bank of Korea;

3. Contributions from the institutions falling under each subparagraph of Article 38;

4. Shares in expenses pursuant to Article 47; and

5. Other revenues prescribed in other Acts and subordinate statutes or its articles of incorporation.

Article 47 (Share in Expenses)

(1) The institutions falling under each subparagraph of Article 38, which are subject to examination by the Financial Supervisory Service, shall pay a share in expenses to the Financial Supervisory Service.

(2) The ratio,

ceiling, and other necessary matters concerning the payment of the shares in expenses pursuant to paragraph (1) shall be prescribed by the Presidential Decree.

Article 48 (Borrowings)

The Financial Supervisory Service may, when necessary, borrow funds from financial institutions upon the approval from the Financial Supervisory Commission.

Article 49 (Free Loan, etc. of National Property)

The Government may loan national property gratis to the Financial Supervisory Service or allow the Financial Supervisory Service to make use of it without any charge.

Article 50 (Disposal of Surplus)

The Financial Supervisory Service may carry over its surplus at the closing date of any fiscal year to the following fiscal year upon the approval from the Financial Supervisory Commission.

SECTION 5 Mediation of Financial Disputes

Article 51 (Financial Disputes Mediation Organization)

The Financial Disputes Mediation Committee (hereinafter referred to as the "Mediation Committee") shall be established in the Financial

Supervisory Service to deiberate and resove matters concerning the mediation of the financial disputes between the institutions mentioned in any subparagraph of Article 38, and consumers of financial services including depositors, etc. and other interested parties.

Article 52 (Composition of Mediation Committee)

(1) The Mediation Committee shall be composed of thirty members or less including its Chairman.

(2) The Chairman of the Mediation Committee shall be nominated by the Governor from among the Deputy Governors of the Financial Supervisory Service, and its members shall be the persons falling under any of the following subparagraphs: <Amended by Act No. 7988, Sep. 27, 2006>

1. A Deputy Governor nominated as a Mediation Committee member by the Governor;

2. A person commissioned by the Governor from among judges, public prosecutors, or persons who have a license of lawyer;

3. A person commissioned by the Governor from among officers or exofficers of the Korea Consumer Agency under the Framework Act on Consumers, and of the consumer organizations;

4. A person commissioned by the Governor from among persons who have work experience at financial institutions, or finance-related

institutions or organs for fifteen years or longer;

5. A person commissioned by the Governor from among persons who have knowledge and experience in finance;

6. A person commissioned by the Governor from among doctors qualified as medical specialists; or

7. Any other person whose membership is acknowledged to be desirable for the mediation of disputes and who is commissioned by the Governor.

(3) The terms of office for the Committee members mentioned in paragraph (2) 2 through 7 shall be two years, and each of them may be reappointed.

(4) In case the Chairman of the Mediation Committee is unable to perform his duties due to unavoidable reasons, a member of the Mediation Committee nominated by the Governor shall perform the duties on behalf of the Chairman.

Article 53 (Mediation of Financial Disputes)

(1) The institutions mentioned in any subparagraph of Article 38, and consumers of financial services including depositors, etc. and other interested parties may request the Governor to mediate a dispute which arises with respect to financial business.

(2) The Governor shall, upon receipt of a request to mediate a dispute pursuant

to paragraph (1), notify the contents thereof to the parties concerned, and may recommend them to reach an agreement: Provided, That the Governor may neither recommend an agreement nor refer a case to the Mediation Committee pursuant to paragraph (3), if the requested case for the mediation falls under any of the following subparagraphs:

1. Case which has already been brought to the court, or whose suit is brought to the court after the mediation request is submitted to the Governor;

2. Case which is unsuitable for mediation through financial dispute mediation;

3. Case where it is no longer of advantage to undertake the procedures for agreement recommendation and mediation in view of the relevant Acts and subordinate statutes or the objective evidence, etc.; or

4. Other cases prescribed by the Presidential Decree.

(3) The Governor shall, when an agreement pursuant to paragraph (2) is not reached within thirty days from the date of receiving the request to mediate the dispute, refer the case to the Mediation Committee without delay.

(4) The Mediation Committee shall, when a case is referred in accordance with paragraph (3), deliberate the case and draw up a mediation plan within sixty days from the referring date.

(5) The Governor

Article 53

may, if the Mediation Committee has dawn up a mediation plan, present the plan to the person requesting the mediation and to the parties concerned, and recommend them to accept it.

Article 54 (Meetings of Mediation Committee)

(1) A meeting of the Mediation Committee shall be composed of the Chairman and seven to eleven members of the Mediation Committee designated by the Chairman at each meeting, and it shall be called by the Chairman.

(2) A resolution of the Mediation Committee shall require the presence of a majority of the members mentioned in paragraph (1) and the concurrence of a majority of those present.

(3) The Governor may request the reconsideration of a resolution adopted when the resolution is deemed to be unlawful or seriously unjust to the public interests.

(4) When the Governor requests reconsideration pursuant to paragraph (3), the previous resolution shall be adopted by the presence of not less than two-thirds of the members mentioned in paragraph (1) and the concurrence of not less than two-thirds of those present.

Article 55 (Effect of Mediation)

When the mediation plan provided in Article 53 (5) is accepted by the persons concerned, it shall have the same effect as a judicial compromise.

Article 54 ~ 55

Article 56 (Cease of Mediation Procedure)

The Governor shall cease the mediation procedure and give notice therof to the parties concerned if any of the parties brings a suit against other parties to the dispute during the mediation procedure of the requested case.

Article 57 (Operation, etc. of Mediation Committee)

Necessary matters on the operation of the Mediation Committee and the disputes mediation procedure shall be prescribed by the Presidential Decree.

CHAPTER IV RELATIONS AMONG FI NANCIAL SUPERVISORY ORGANIZATIONS AND BETWEEN SUCH ORGANIZATIONS AND OTHER INSTITUTIONS

SECTION 1 Relations between Financial Supervisory Commission and Financial Supervisory Service

Article 58 (Submission of Documents)

The Governor shall submit the documents necessary for financial supervision, etc. upon the request of the Financial Supervisory Commission

or the Securities and Futures Commis.

Article 59 (Report of Examination Results and Measures Taken)

The Governor shall, when any examination pursuant to subparagraph 1 of Article 37 is conducted, report the examination results to the Financial Supervisory Commission. This provision shall also apply to the case where the measures provided in Articles 41 and 42 are taken.

Article 60 (Report, Examination, etc.)

The Financial Supervisory Commission may, when it deems necessary, have the Financial Supervisory Service report to it the matters concerning the operations, assets, and accounting of the Financial Supervisory Service; or it may examine the operations, assets status, account books, documents, and other materials of the Financial Supervisory Service in such manner as determined by the Financial Supervisory Commission.

Article 61 (Right of Financial Supervisory Commission, etc. to Issue Orders)

(1) The Financial Supervisory Commission or the Securities and Futures Commission may issue an order necessary for guiding and directing the duties of the Financial Supervisory Service.

(2) The Financial Supervisory Commission may, when it deems that any measure taken by the Securities and Futures Commission or the Financial

Securities Service is unlawful or seriously unjust to the public interests or the protection of financial customers such as depositors, etc., revoke all or part of such measure or suspend the execution thereof.

(3) The Securities and Futures Commission may, when it deems that any measure on the duties provided in any subparagraph of Article 19 taken by the Financial Supervisory Service is unlawful or seriously unjust, revoke all or part of such measure or suspend the execution thereof.

SECTION 2 Relations between Financial Supervisory Commission and Bank of Korea

Article 62 (Request, etc. of Examination and Joint-Examination)

(1) The Bank of Korea may, when the Monetary Policy Committee deems necessary for the conduct of the monetary and credit policy, require the Financial Supervisory Service to examine the financial institutions provided in Article 11 of the Bank of Korea Act, or demand that the employees of the Bank of Korea jointly participate in the examination of the financial institutions with the Financial Supervisory Service.

(2) The Bank of Korea may request the Financial Supervisory Service to submit the findings of the examination pursuant to paragraph (1) or require the Financial Supervisory Service to take necessary corrective measures on the findings of such examination.

(3) The Bank of Korea

Article 62

shall, when it demands the examination or jointexamination mentioned in paragraph (1), specify its purpose of examination, the institutions to be examined, and the scope of the examination.

(4) The Financial Supervisory Service shall, when requested by the Bank of Korea pursuant to paragraphs (1) and (2), comply with the request.

Article 63 (Request for Reconsideration)

(1) The Monetary Policy Committee may, when the Financial Supervisory Commission takes any measures having a direct bearing on monetary and credit policy to which the Monetary Policy Committee is opposed, request reconsideration of such measures.

(2) When the Financial Supervisory Commission, at request for its reconsideration from the Monetary Policy Committee pursuant to paragraph (1), adopts the same measures as the previous ones with the concurrence of two-thirds or more of the entire members of the Financial Supervisory Commission, the resolution shall be confirmed.

SECTION 3 Relation between Financial Supervisory Commission and Ministry of Finance and Economy, etc.

Article 63 ~ 64

Article 64-2 (Consultation on Acts and Subordinate Statutes Relating to Financial Supervision)

The Ministry of Finance and Economy shall consult with the Financial Supervisory Commission in the case of formulating or amending Acts and subordinate statutes relating to financial supervision.

Article 65 (Cooperation in Exchange of Materials)

The Minister of Finance and Economy, the Monetary Policy Committee, and the Financial Supervisory Commission may request from each other any materials necessary for the conduct of their policies. In this case, the requested materials shall be submitted to the requester unless there is any special reason to refuse the request. <Amended by Act No. 5982, May 24, 1999>

Article 66 (Examination Request by Korea Deposit Insurance Corporation)

(1) The President of the Korea Deposit Insurance Corporation may, when necessary for conducting his duties, request the Financial Supervisory Commission or the Financial Supervisory Service either to examine an insured financial institution provided in subparagraph

Article 64-2 ~ 66

1 of Article 2 of the Depositor Protection Act or to allow his employees to jointly participate in the examination conducted by the Financial Supervisory Commission or the Financial Supervisory Service.

(2) The President of the Korea Deposit Insurance Corporation shall, when he requests the examination mentioned in paragraph (1), specify his purpose of the examination, the institutions to be examined, and the scope of the examination.

(3) The Financial Supervisory Service shall, upon receiving a request from the President of the Korea Deposit Insurance Corporation pursuant to paragraph (1), comply with the request unless there is any special reason to refuse it.

Article 67 (Requests for Cooperation by Governor)

The Governor may, when necessary for conducting his duties, request cooperation from administrative agencies and other institutions concerned.

CHAPTER V SUPPLEMENTARY PROVISIONS

Article 68 (Penal Provisions)

(1) Any person violating Article 35 (2) shall be punished by an imprisonment up to three years or by a fine up to twenty million won.

(2) Any person violating Article 28 shall be punished by an imprisonment up to one year or by a fine up to ten million won.

Article 67 ~ 68

Article 69 (Legal Fiction of Public Officials in Application of Penal Provisions)

(1) The commissioners of the Financial Supervisory Commission, the members of the Securities and Futures Commission who are not public officials, and the executive officers and employees of the Financial Supervisory Service shall be deemed public officials to the extent that penalty provisions of the Criminal Act or other Acts apply to them.

(2) The scope of the employees deemed as public officials pursuant to paragraph (1) shall be prescribed by the Presidential Decree.

Article 70 (Administrative Adjudication)

Any person whose rights and interests are infringed by the unlawful or inequitable measures of the Financial Supervisory Commission, the Securities and Futures Commission, or the Financial Supervisory Service may lodge an administrative adjudication with the Prime Minister.

ADDENDA

Article 1 (Enforcement Date)

This Act shall enter into force on April 1, 1998: Provided, That Article 3 (4) through (9) of the Addenda shall be effective on the date of the promulgation of this Act; and the provisions of

Sections 1, 2, 4 and 5 of Chapter III shall, unless there is any provisions of this Act to the contrary, enter into force on the date in 1999 to be determined by the Presidential Decree.

Article 2 (Transitional Measures on Authority and Duties of Financial Supervisory Service)

(1) The Office of Banking Supervision established under Article 3 of the Addenda, the Securities Supervisory Board under the previous Securities and Exchange Act, the Insurance Supervisory Board under the previous Insurance Business Act, and the Credit Management Fund under the previous Credit Management Fund Act (hereinafter referred to as the "Office of Banking Supervision, etc.") at the time when this Act enters into force shall perform the duties of the Financial Supervisory Service under Article 37, respectively, until a Financial Supervisory Service is established. In this case, the Financial Supervisory Service and the Governor of the Financial Supervisory Service under this Act or other Acts and subordinate statutes shall, until a Financial Supervisory Service is established, be regarded as the Office of Banking Supervision, etc. and the Director of the Office of Banking Supervision, the Director of Securities Supervisory Board, the Director of the Insurance Supervisory Board, or the Chairman of the Credit Management Fund (hereinafter referred to as the "Director of the Office of Banking Supervision, etc.") under the previous Acts, respectively.

(2) The institutions which are subject to examination of the Office of Banking

Supervision, etc. under paragraph (1) shall be as follows:

1. In the case of the Office of Banking Supervision, institutions provided in subparagraphs 1, 8, and 11 through 13 of Article 38;

2. In the case of the Securities Supervisory Board, institutions provided in subparagraphs 2, 3, and 10 of Article 38;

3. In the case of the Insurance Supervisory Board, institutions provided in subparagraph 4 of Article 38; and

4. In the case of the Credit Management Fund, institutions provided in subparagraphs 5 through 7 and 9 of Article 38.

(3) The Office of Banking Supervision, etc. shall perform the duties to examine institutions provided in subparagraphs 14 and 15 of Article 38, in such manner as prescribed by the Financial Supervisory Commission.

(4) The Financial Supervisory Commission may, when it deems necessary, adjust the scope of institutions which are subject to the examination of the Office of Banking Supervision, etc. notwithstanding paragraphs (2) and (3).

(5) Articles 28 and 68 (2) shall, until a Financial Supervisory Service is established, apply mutatis mutandis to the prohibition of

use of denomination similar to the "Office of Banking Supervision", etc. and the punishment against the violation thereof.

Article 3 (Establishment of Office of Banking Supervision)

(1) An Office of Banking Supervision shall, until a Financial Supervisory Service is established, be established to conduct the examination and supervision of institutions provided in Article 2 (2) 1 of the Addenda.

(2) The Office of Banking Supervision shall be a special corporation having no capital.

(3) The Office of Banking Supervision shall succeed by a universal title to all rights and duties concerning employment relationships, etc. of the Director and Deputy Director, Assistant Directors and employees of the Office of Banking Supervision at the Bank of Korea under the previous Bank of Korea Act.

(4) The Minister of Finance and Economy shall have the Director of the Office of Banking Supervision at the Bank of Korea compose a Committee of Establishment by commissioning ten commissioners within thirty days from the date of the promulgation of this Act to conduct the affairs of establishment of the Office of Banking Supervision.

(5) The Committee of Establishment shall prepare the articles of incorporation of the Office of Banking Supervision and obtain authorization from the Minister of Finance and Economy.

(6) The Committee of Establishment shall, when it has obtained the authorization under paragraph (5), make a registration of establishment under the joint signatures of the establishment commissioners without delay.

(7) The Committee of Establishment shall, when it has completed the registration of establishment under paragraph (6), transfer the affairs and assets to the Director of the Office of Banking Supervision.

(8) The establishment commissioners shall, when the transfer of affairs and assets under paragraph (7) has been completed, be deemed to have been decommissioned.

(9) The expenses involved in the establishment of the Office of Banking Supervision shall be borne by the Bank of Korea.

(10) Articles 25 though 27 shall apply mutatis mutandis to the articles of incorporation and registration of the Office of Banking Supervision.

Article 4 (Budget of Office of Banking Supervision, etc.)

(1) The Office of Banking Supervision shall appropriate its budgets from the following sources of revenue:

1. Contributions from the Bank of Korea; and

2. Contributions and shares from the institutions falling under Article 2 (2) 1 of the Addenda.

Addenda

(2) The Credit Management Fund shall appropriate its budgets from the following sources of revenue:

1. Contributions from the Korea Deposit Insurance Corporation under the Depositor Protection Act; and

2. Contributions and shares from the institutions falling under Article 2 (2) 4 of the Addenda.

(3) The Securities Supervision Board and the Insurance Supervision Board shall appropriate their budgets in such manner as determined in the previous provisions of the Securities and Exchange Act and the Insurance Business Act.

(4) The Bank of Korea, the Korea Deposit Insurance Corporation, institutions falling under Article 2 (2) 1 and 4 of the Addenda shall give fixed contributions pursuant to Article 45 (1) to the Office of Banking Supervision and the Credit Management Fund by the beginning date of the fiscal year.

(5) The Financial Supervisory Commission shall decide upon the ratio and limit of contributions provided in paragraphs (1) through (3) and other necessary matters on the payment of contributions until a Financial Supervisory Service is established.

Article 5 (Transitional Measures on Mediation of Financial Disputes)

(1) In the case there

is a request for mediation of financial disputes to the Office of Banking Supervision, etc., it shall follow the procedures for mediation of financial disputes under the previous Banking Act, Securities and Exchange Act, and Insurance Business Act, until a Financial Supervisory Service is established.

(2) Requests for mediation of financial disputes to the Office of Banking Supervision, etc. under the previous Banking Act, Securities and Exchange Act, and Insurance Business Act, at the time when a Financial Supervisory Service is established, shall be deemed requests for mediation of financial disputes to the Mediation Committee under this Act.

Article 6 (Succession of Employment Relationships)

(1) The Financial Supervisory Service shall succeed by a universal title to all rights and duties concerning employment relationships, etc. and assets of the Office of Banking Supervision, etc., at the time of its establishment.

(2) In the case of decision on treatment of employees and other matters related to service in office, the balance shall be kept in consideration of each employee's career, ability, and the length of service.

Article 7 (Establishment of Financial Supervisory Service)

(1) The Financial Supervisory Commission shall compose a Committee of Establishment by commissioning ten or less establishment commissioners at the time as prescribed by the President Decree to conduct

affairs of establishment of the Financial Supervisory Service.

(2) The Committee of Establishment shall prepare the articles of incorporation of the Financial Supervisory Commission and obtain authorization from the Financial Supervisory Commission.

(3) The Committee of Establishment shall, when it has obtained the authorization under paragraph (2), make a registration of establishment under the joint signatures of commissioners without delay.

(4) The Committee of Establishment shall, when it has completed the registration of establishment under paragraph (3), transfer its business affairs and assets to the Governor of the Financial Supervisory Service appointed under this Act.

(5) The establish commissioners shall, when the transfer of its business affairs and assets pursuant to paragraph (4) has been completed, be deemed to have been decommissioned.

(6) The expenses involved in the establishment shall be borne jointly by the Office of Banking Supervision, etc.
